What type of company are you establishing?
The first decision, you would have to make is what company type you plan to establish in Slovenia. If you have an existing company abroad and are looking to expand your business to Slovenia, you can choose three company types. Those are:
- establishing a new LTD as a natural person,
- opening a subsidiary of your existing company,
- opening a branch office of your existing company.
What about if you are new to entrepreneurship and want to start a new business?
Even if you do not have an existing company abroad, you can still start your business in Slovenia. Non-EU citizens can open an LTD company as natural persons. To open the company, you do not need to have a residence permit in Slovenia.
Checklist for registering a new LTD company in Slovenia, EU
The most commonly-chosen business type is registering an LTD company as a natural person. There are certain documents you need to prepare and we have made a checklist, which you can see below.
Before company registration you need to prepare:
- a Slovenian tax number for all representatives and shareholders,
- business address for your company in Slovenia,
- 7500€ share capital,
- make sure your passport is valid.

In the process of company registration, you have to review a separate checklist in order to know what to expect when registering a company.
The checklist for company registration:
- bring with you all the above-mentioned documents,
- decide, which will be your main business activity and which will be the accompanying business activity,
- determine business address and business seat,
- decide, who will be shareholder and who representative,
- determine the amount of share capital.
Based on all this documentation, you can come to a licensed VEM point, where the consultant will prepare the act of establishment. With that document, you visit the bank in order to open a temporary bank account and deposit the 7500€. After 3-5 business days from the deposit, the court issues the decree of company registration.
Checklist – what to consider after successful company registration?
When the company is registered you would also have to review your obligations in accordance with Slovene legislation. After the company is officially registered, you have 8 days to assess beneficial owners to the company. Should you need to enroll in the registry, you have to submit an application.
If you will be employing workers in your company, you are also obliged to prepare certain internal regulations within the company, depending on the number and type of workers you employ. All your employees also have to pass a medical exam and safety at work seminar. We also recommend taking advantage of our accountancy services for salary calculations for your employees.
Another element on the checklist is the VAT number for your company. Should you want to engage in business with companies in other EU states, you would need to enter the VAT system. Our legal team can help you to submit the application to the Slovenian tax office.
