Questions before company establishment in Slovenia, EU – what documents do I need to register the company?

Non-EU foreigners can open an LTD company. It is a private company limited by shares and requires founding capital 7.500€.

To open it, you will have to personally travel to Slovenia and present the following documents at the licensed VEM point:

  • valid passport,
  • Slovenian tax number,
  • a statement about the business address in Slovenia. The owner of the business address has to notarize a special statement allowing the entrepreneur to register the company at that particular address.

Based on those documents, the consultant at the VEM point prepares the act of establishment for the company. Then you will have to go to a bank in Slovenia to open the bank account. Within, you deposit the 7.500€ founding capital. Within 3-5 business days so receive the court’s decree that they have registered your company.

Questions before company establishment in Slovenia, EU – can there be more than one shareholder and representative in the company?

Foreigners also tend to have questions, if within the company there can only be one owner and representative, or if there can be more. An LTD company can have up to 50 shareholders. They can own a part of the company and provide that percentage of founding capital. There can also be more than one legal representative within the company. That person is responsible for the business conduct of the company and also oversees the financials.

Just to register a company and become owner and shareholder, you do not need to have specific education. Specific education is required only if you plan on doing a regulated business activity that requires proof of education to obtain the occupational licensing. Those business activities include, hair salon, cosmetic salon, construction, tourism agency, international transportation etc.

Some entrepreneurs want to offer various services within the company and ask questions, if they can register more business activities or are they limited to only one. In Slovenia, you can register a wide variety of business activities within one company. All services you plan on offering, you have to make sure that your company’s list of business activities also includes those activities. Should you decide to add or remove business activities within the company after the registration, this is also possible and can be done at our VEM point.

Questions before company establishment in Slovenia, EU – do I receive work and residence permit automatically after company registration?

Non-EU citizens cannot immediately relocate to Slovenia and need a work and residence permit to do so. Many foreigners have the incorrect idea that just the fact that they have registered a company in Slovenia gives them automatic possibility to apply for work and residence permit and relocate to Slovenia. But just registering the company does not make it possible for the owner or representative of the company to apply for business immigration. The company has to fulfill one of three options for business immigration:

  • invest 50.000€ into fixed assets of the company,
  • or employ an EU citizen within the company for 6 months on full-time,
  • or show company turnover 10.000€/month for 6 months.
