If you have decided to open a new LTD as a natural person, you will firstly have to decide who will be the shareholder and who the representative. The shareholder is the person, who is the owner of the company and provides the funds to open a business in the first place. The representative is the person who will be responsible for the company’s business conduct and will have the right to make decisions about the company.

Both the shareholder and the representative have to obtain a Slovenian tax number prior to their arrival in Slovenia. Additionally, your company will need a business address in Slovenia already in the process of company registration. You will need to obtain a notarized statement of the owner of the business address that he allows you to register your company at that address.

Once you have this sorted, you will have to travel to Slovenia to perform company registration and sign the act of establishment. You will also need to open a bank account for your company in that visit. After depositing 7500€ founding capital to the bank account, it takes the court 3-5 business days to register the company. After receiving the court’s decree, you can proceed with bringing your business idea to live in a vibrant European market.
