Private company in Slovenia – what documents do you require?
If you plan on opening a private company in Slovenia, as a non-EU citizen you can open an LTD company. It is a private company limited by shares. It can have more than one shareholder and requires founding capital 7.500€. This type of private company is liable for business conduct with the amount of founding capital. Once the company is registered you can proceed to do business in Slovenia.
In addition to the 7.500€ founding capital, all shareholders and representatives need a Slovenian tax number. You can obtain this document yourself at the Slovenian tax office or authorize someone to obtain it on your behalf. It takes around 8 days to obtain.
Also, all companies need to have a business address in Slovenia already in the process of company registration. It can be a residential or commercial building. You would need to obtain consent from the owner of the business address. The owner has to notarize the statement allowing you to register your company’s address at that address either at the notary or at the Slovenian administrative unit.
All shareholders and representatives need to bring with them also their valid passports.
Private company in Slovenia – process of company registration
Once you have arranged all the above-mentioned documents, you have to arrange to come to Slovenia for company registration. The whole process takes up about 2 weeks, at this time all shareholders and representatives need to be present in Slovenia.
You can make company registration at the designated registration office called VEM/SPOT point. The consultant at that office helps you to prepare all necessary documents like the act of company establishment.
With that document you go to a chosen bank in Slovenia. At that bank you open a temporary bank account to which you deposit 7.500€ founding capital. The bank issues a confirmation which states that you have deposited sufficient founding capital. You bring that document back to the consultant and he submits the documents to the court registry. In 3-5 business days from submitting the company registration documents, the private company is registered. At that point you have to go back to the bank to activate your permanent bank account. At this stage, your company is active and you can proceed to conduct your business in Europe.
