Option for business formation in Europe – choosing a company type
If you are an established entrepreneur abroad you have the option to establish either a subsidiary or a branch office. A subsidiary is a separate LTD company, where the shareholder is your foreign legal entity. It allows you to have capitally linked companies but still maintain independence (financially and operatively) from the parent company. It requires the shareholders and representatives to visit Slovenia for at least 2 weeks. A subsidiary would also require founding capital of 7.500€.
A branch office is not a separate legal entity but rather a part of the parent company. It can only do the same business activity as the parent company. It is also not financially independent from the parent company and the parent company has to include it in its financial report. The branch does not require founding capital and has to be established at the notary. You can establish it based on power of attorney and does not require your physical presence in Slovenia to establish it.
If you are a new entrepreneur without companies abroad, you can choose the option to establish an entirely new company in Slovenia. That would be a LTD company, which required founding capital 7.500€. You would also have to travel to Slovenia for 2 weeks to make the company establishment and open the temporary bank account.
