Open a subsidiary in Slovenia, EU – what is a subsidiary?

A subsidiary is a legal entity, where the shareholder of the company is another legal entity. In Slovenia, a subsidiary is an LTD company. This means that to establish it, you need to deposit founding capital.

When you open a subsidiary in Slovenia, you can register other business activities in this subsidiary. Because the subsidiary and parent company are only connected by ownership, the subsidiary is an independent legal entity, which is responsible for its own business conduct. This means that the parent company does not have to include the business conduct of a subsidiary in its financial report.

In case of profit of the subsidiary, the parent company  has claims to the dividends after the subsidiary has paid its corporate income tax.

To open a subsidiary, the representatives of the parent company and of the subsidiary have to come to Slovenia for company registration. The process to open a subsidiary requires your physical presence in Slovenia for around 14 days. After the company is established you can start to do business in Slovenia.

The documents you need to open a subsidiary are:

  • Slovenian tax number for the parent company
  • Slovenian tax number for the representatives of the parent company and the subsidiary
  • Extract from the business registry of the parent company, which is not older than 3 months
  • A statement about the business address in Slovenia
  • 7.500€ founding capital.

With all those documents you can make company establishment act at a One-Stop Shop in Slovenia. Afterwards, you have to go to a bank in Slovenia to open the temporary bank account where you would deposit the founding capital.

Keep in mind that depositing the founding capital when you open a subsidiary has to come from the parent company’s bank account. So, your parent company would have to make a bank transfer of the 7.500€ to the temporary bank account of the subsidiary in Slovenia.

In 3-5 business days the subsidiary is established. At that point, the representative of the subsidiary would have to go back to the bank to open the permanent bank account. With that, the subsidiary registration is complete.
