What is an LTD company?
An LTD company is a private company limited by shares. The abbreviation in Slovenian language is d.o.o. It requires to have at least one shareholder and one representative but there can also be more. When establishing it, you have to deposit the 7.500€ founding capital.

In addition to the founding capital, you also need a business address in Slovenia for your LTD company. It can be a residential or commercial property. The owner of the business address would have to give you consent to register your business address there.
Also, all shareholders and representatives of LTD companies need to obtain a Slovenian tax number. You can obtain it at the Slovenian tax office by submitting the application. The process takes approximately 8 days to complete. You can also authorize someone to obtain it on your behalf.

The process of establishing LTD companies in Slovenia, EU
Once you have gathered all the necessary documents, you will have to visit Slovenia in order to perform company registration. It would be wise to stay in Slovenia at least 2 weeks to finalize all procedures.
You can register LTD companies at any VEM points in Slovenia and Data also has its own VEM point. The registration at VEM points is free of charge. You have to bring with you the Slovenian tax numbers, passports and consent of the owner who allowed you to register the business address.
At the VEM point, you sign the act of establishment. With that document, you visit a bank in Slovenia in order to open a temporary bank account.
When the bank opens the temporary bank account, you deposit the 7.500€ there either in cash or through bank transfer. Within 3-5 business days from the deposit, the court issues a decree of company registration. With that document you visit the bank again and activate the permanent bank account. This completes the process of registration.
