What kind of legal entities can you establish in Slovenia?

People who want to expand their business to Slovenia often wonder what kind of legal entities it is possible to establish in Slovenia. This depends on the person’s nationality and whether or not you have an existing company abroad.

What kind of legal entities can you establish in Slovenia?  – new LTD

If you are a new entrepreneur and would like to start your business in Europe, Slovenia is a good choice to set up a hub here. It has central European location, access to international waters and is a part of both the European Union and Schengen zone.

If you do not have an existing company abroad the legal entity that you can establish is an LTD company. This is a private company limited by shares. The owners of the company are natural persons who have to provide founding capital. The minimal amount of the founding capital you have to provide is 7.500€. You would also need to decide who the representative of the company would be. It does not have to be a Slovenian citizen. It can be either the same person who is the shareholder or an entirely different person. Both shareholders and representatives need to obtain a Slovenian tax number prior to company registration.

The company in Slovenia would also need a business address here. To be able to register your business address at a specific address, you need the consent of the owner of the business space. The owner signs a special statement and notarizes it at the administrative unit or notary’s office.

Once you have gathered all the documents, all shareholders and representatives would have to visit Slovenia in order to register the company and open a bank account. Once you receive the decree from court that the company is registered, you can proceed to doing your business in Slovenia.

What kind of legal entities can you establish in Slovenia? – subsidiary

If you have been doing business abroad and you would like to share your business idea on the territory of Slovenia, you also have the choice of opening a subsidiary of your existing company.

A subsidiary is also an LTD company but here the shareholder is a foreign legal entity. In addition to having a business address in Slovenia and obtaining the Slovenian tax numbers, you would also have to obtain the Slovenian tax number for the foreign company. You can obtain it based on the dully attested and translated extract from the business registry of the foreign company. You would also have to travel to Slovenia, along with the representatives of the parent company in order to register the subsidiary. Here you would open a bank account for the subsidiary. To the account, you deposit the founding capital 7.500€ which has to come from the parent company’s business account.

What kind of legal entities can you establish in Slovenia? – branch office

You can also expand your business to Slovenia by opening a branch office. But a branch office is not an official legal entity. It is a part of the parent company which cannot stand alone and is dependent on the parent company. It does not require founding capital for establishment. You would also have to register it at the notary. But it is possible to make the registration through power-of-attorney and that way the representatives do not have to come to Slovenia to establish it.

The branch office can only do the same business activities that the parent company also has registered and is also financially dependent on the parent company. It does not need to have a bank account in Slovenia and can use the parent company’s bank account. Opening a branch office is a good way to market the services of your existing foreign legal entity in a new business environment.
