Expanding your business to Slovenia, Europe

Many foreign entrepreneurs are considering expanding their business to Europe as it offers lots of economic stability and offering services and products in an area with strong purchasing force. Slovenia is also one of the European countries that has become interesting to foreigners when it comes to expanding their business to.

Expanding your business to Slovenia, Europe by opening a branch office

If you have a developed business abroad and are thinking about expanding it to Slovenia, where it would be a hub for your European market, you can open a branch office here. This will enable you to do business in Slovenia and also market your existing services and products.

A branch office is not a separate legal entity but a part of the parent company. It is mostly used in order to promote the parent company’s services abroad. It does not require founding capital in the process of registration but it needs to be included in the parent company’s financial report.

The branch office has to register the same business activities as the parent company has registered. In order to register it, you would have to provide the following documents:

  • financial report for the previous business year for the parent company,
  • act of establishment of the parent company,
  • extract from the business registry that is not older than 3 months (from the parent company),
  • Slovenian tax numbers for all representatives and the parent company,
  • decree of branch establishment,
  • statement of the representative agreeing to also be the representative of the branch
  • a business address in Slovenia.

All documents that are not in Slovene language need to be appropriately attested and translated to Slovene language by court translator. You will have to register the branch at the notary’s office in Slovenia in order of expanding your business. After submitting the documents, it takes approximately 2 weeks for the branch to appear in the business registry of Slovenia. The branch is not required to have a bank account in Slovenia so you can use the parent company’s bank account when doing business in Europe.

Expanding your business to Slovenia, Europe by opening a subsidiary

If you already have an existing company abroad and are thinking about expanding your business but would still like to offer additional services that the ones your parent company is offering, you can open a subsidiary in Slovenia.

Unlike a branch office, a subsidiary is an independent legal entity. It is an LTD company, where the shareholder is the foreign company, which is expanding. When registering a subsidiary, you need to provide 7.500€ founding capital. The transaction has to come from the parent company’s bank account. To establish a subsidiary, you need to provide:

  • extract from the business registry that is not older than 3 months (from the parent company),
  • Slovenian tax numbers for all representatives and the parent company,
  • a business address in Slovenia.

The extract from the business registry needs to be appropriately attested and translated to Slovene language by court translator. After obtaining all documents, you would need to come to Slovenia to sign the act of establishment for the subsidiary and open the bank account. The whole process of subsidiary registration takes around 1 month to complete.

The subsidiary can register different business activities and is capitally linked to the parent company by ownership but still an independent legal entity. So, you would be expanding your brand to other markets but still remain independent if you see that this particular market requires some of your other services.

You do not have an existing company abroad? No problem, open a new LTD as a natural person!

If you do not have a company abroad and cannot be expanding your services to Slovenia, do not worry – you can open an entirely new company in Slovenia. Anyone can open a LTD company as a natural person. All you would need is a Slovenian tax number, 7.500€ founding capital and a business address in Slovenia. You would have to travel to Slovenia and sign the act of establishment. You will also have to open a bank account of the company and deposit the 7.500€ capital. The whole process takes about 1 month to complete. Afterwards you will have your brand-new company and can also start expanding your services or products to the whole EU market.
