What kinds of company can a foreigner establish in Slovenia, EU? – a LTD company

The first kind of company you can establish in Slovenia is an LTD company as a natural person. This company type does not require you to have an existing company abroad. You would need 7.500€ founding capital and a business address in Slovenia. Also, all shareholders and representatives have to obtain a Slovenian tax number before company registration.

Afterwards you would have to come to Slovenia to perform company registration. In Slovenia, you would also have to open a bank account to which you would deposit the funds to. The whole process from the start takes about 3 weeks to 1 month to complete.

What kinds of company can a foreigner establish in Slovenia, EU? – a subsidiary of your existing company

The other of the kinds of company you can establish is subsidiary. For this, you would have to have an existing company abroad. A subsidiary is also a LTD company. But here the shareholder would not be a natural person but would be a legal entity. Here the founding capital is also 7.500€ and you would have to transfer these funds from the parent company’s bank account in the process of subsidiary registration.

Also, here the shareholders and the representatives have to obtain a Slovenian tax number, so the parent company will also have to obtain the tax number. A subsidiary also needs a business address in Slovenia.

The representatives have to come to Slovenia for company registration. In addition, they have to bring with the also the extract of the parent company’s business registry.

The whole process also takes 3 weeks to 1 month to complete, depending on how fast you obtain your parent company’s extract from the business registry.

What kinds of company can a foreigner establish in Slovenia, EU? – a branch office of your existing company

The last of the kinds of company you can establish in Slovenia is a branch office. For this company type, you also need to have an existing company abroad.

A branch is not a separate legal entity, but a part of your parent company. You do not need to deposit founding capital to establish a branch office. Also, a branch has to be established at the notary’s office and your presence is not required for branch registration.

To establish it, you have to provide from the parent company the act of establishment, extract from the business registry and the financial report. Also, you would need to prepare a decree for branch establishment and statement for the future representative of the company.

The parent company needs to obtain a Slovenian tax number. Also, the representatives of the parent company and the branch have to obtain it as well.

The branch office also requires a business address in Slovenia.

Once the documents are submitted to the notary, it takes around 2 weeks for the branch to be officially registered.
