Different types of companies you can establish in Slovenia, EU – new LTD company

As a non-EU citizen, you can establish several different company types in Slovenia. If you do not have an existing company abroad and would like to try yourself as an entrepreneur for the first time, you can establish a new LTD company as a natural person.

This means that you as a natural person are a shareholder of the company. You would need founding capital 7500€, Slovenian tax number and a business address in Slovenia. Also, you would need to bring with you your valid passport

You would need to come to Slovenia for about 14 days to finalize this procedure. In that time, you make the act of establishment and open a temporary bank account to which you deposit the founding capital. You can make the deposit in cash or through bank transfer. After about 1 week from the deposit the company is registered and you can open a permanent bank account.

Different types of companies you can establish in Slovenia, EU – subsidiary

If you are a seasoned entrepreneur with existing business abroad, you have the possibility to establish two different types of companies – a subsidiary and a branch office.

A subsidiary is also an LTD company, where the shareholder is another legal entity. In addition to the Slovenian tax number for the representative, you would also have to obtain the Slovenian tax number for the foreign company. Additionally, you would have to obtain the extract from the business registry of the parent company. It has to be dully attested and translated to Slovene language.

The timeline for registering a subsidiary is also about 2 weeks. You would also have to come to Slovenia for this time to make the act of establishment and open the bank account, where you deposit the 7500€ founding capital. For a subsidiary, you cannot make the deposit in cash, but you have to transfer it from the corporate bank account of the parent company.

A different company type you can establish, if you have an existing company abroad, is a branch office. It is not an independent legal entity but a part of the existing foreign company. You can register it based on power of attorney and do not need to come to Slovenia for the company registration.

The company registration has to be processed at the notary. You need to submit the financial report for the parent company, act of establishment for the parent company and extract from the business registry of the parent company. Additionally, you have to prepare a statement of the branch office representative and the decree of branch establishment. The branch office also requires a business address in Slovenia.

After the documents for the establishment of the branch office is submitted, the branch is officially registered within 2 weeks. After that you can come to Slovenia to open the branches bank account.
