Before establishing a company in Slovenia – Slovenian tax number
One of the most important documents that you need before registering a company in Slovenia, is a Slovenian tax number. All representatives and shareholders require it and without it, you cannot make company registration.
To obtain it, you have to go to the Slovenian tax office with your valid passport and fill out an application. Once you submit the application, it takes 8 days for them to issue the tax number.
You can also authorize someone to apply for it on your behalf, so you actually do not have to travel to Slovenia for this part of the company registration process.
Before establishing a company in Slovenia – reserving company name
If is useful to also make company name reservation before the actual company registration. This is because you have to choose a unique company name. It means that it cannot be the same or similar to an already existing company name in Slovenia. It also cannot include name of cities, countries, abbreviations for countries, names of historical figures etc. without the explicit approval from the municipality, government or the relatives of that historical figure.
You can reserve the company name before company registration and after obtaining the tax number for at least one of the shareholders.
Before establishing a company in Slovenia – business address in Slovenia
All companies require to have a business address before company registration. This means that when you come to register the company, you already have to know where the company’s business address will be. Once you have found the space, it is not sufficient only to list it in the company registration documents. You need to obtain approval from the owner of the business address. He needs to sign a special statement that he has to certify at the notary’s office or administrative unit. If you make company registration at a VEM/SPOT point, the owner can also come with you for company registration and sign and notarize the statement there.
Before establishing a company in Slovenia – process of company registration
Once you have all of the above-mentioned documents, you need to come to Slovenia for LTD registration. You would need to remain in Slovenia for around 2 weeks to finalize the process of company registration. In addition to the above-mentioned documents you also need to bring with you 7.500€ founding capital. You have to deposit this money at a chosen bank in Slovenia either in cash or through bank transfer from your personal bank account. Only by depositing this amount the court can proceed to register your company. It is usually registered within 3-5 business days from submitting the documents for company registration. Then you can proceed to doing your business in Slovenia.
