What company types can you establish in Slovenia as a foreign entrepreneur?

Depending on your business experience there are three types of companies you can establish in Slovenia, each with different characteristics. The most common choice is opening an LTD company as a natural person. Anyone can open this company type, even without previous business experience. If you already have experience with doing business abroad you can also open a subsidiary. A subsidiary is also an LTD company where the shareholder is a legal entity instead of a natural person. If you are running an existing business abroad, you can also establish a representative office. It is the only of the three company types which is not a separate legal entity but instead a part of the parent company.

Characteristics of an LTD company

The most common choice of company type in Slovenia is an LTD company. Its most notable characteristic is that the shareholder is a natural person. To establish it, you have to deposit 7500€ share capital. Additionally, all representatives and shareholders would need to obtain their Slovenian tax number before company registration. In the process, you would also have to provide a business address in Slovenia. Within the company, you can register any business activity you would like to engage in.

Characteristics of a subsidiary

A subsidiary is also an LTD company and requires 7500€ share capital for the registration. The specific characteristic of a subsidiary is that the shareholder is a legal entity. It also means that the foreign company would have to provide the share capital instead of a natural person. The same as a normal LTD, you need to provide Slovenian tax numbers for all shareholders and representatives as well as a business address in Slovenia. Also, within this company type you can register any business activity, not just the ones that the parent company registered.

Characteristics of a representative office

A representative office is also called a branch office. From all these company types, it is the only one that is not a separate legal entity but a part of the parent company. The major characteristics of this company type are that is does not require share capital for the registration. It is also the only company type that can be established completely remotely as it is registered at the notary’s office and does not require to have a bank account in Slovenia. Also, in the process of registration you would need to present documentation from the parent company as well as provide Slovenian tax numbers for the parent company and representatives and a business address in Slovenia.
