What is a representative office?

A representative office or branch is an extension of your existing company. It is not a separate legal entity but a part of your existing company. Because it is not a legal entity, it also does not require share capital in the process of company registration. The representative office is completely dependent on the parent company. This means that the parent company has to support it financially and also the representative office can only provide the same services that the parent company has registered. This company type is a good choice for companies who have an existing product or service which they want to transfer to a new market.

What documents do you need for registration?

The representative office is one of the rare company types which you cannot register at a licensed VEM point in Slovenia. It requires registration at the notary’s office. But it is also the only company type that does not require your physical presence in Slovenia for registration. You can authorize someone to register the company on your behalf.

To register a representative office, you would need to obtain the following documents from the parent company:

  • extract from the business registry that is not older than 3 months,
  • act of establishment of the parent company,
  • financial report for the previous business year.

All documents have to be dully attested and translated to Slovene language.

When registering the representative office, you would also need to prepare the additional documents:

  • Slovenian tax numbers for the parent company and the representatives,
  • decision of the parent company to register a representative office,
  • decision of the director that they agree to become the director in the branch office
  • statement about the business address in Slovenia.

You need to submit all documents with the notary. Afterwards, the representative office is registered within 15 days. It does not require a bank account in Slovenia. This means that you can use the parent company’s bank account for the transactions of the branch office. Should you decide to open a new bank account for the branch, the director of the company has to come to Slovenia to do it.
