Experienced entrepreneurs with existing companies abroad can start a business in Slovenia by opening a branch or a subsidiary in Slovenia. But even newcomers can establish a company in Slovenia, namely an LTD company where natural persons are shareholders. Each of these company types has a different timeline for company registration and we will be explaining the estimates for each of the types.

What are the different company types you can establish in Slovenia, EU?

The estimates how long it takes to establish a company depend on the company type. You can either establish an LTD as a natural person, if you do not have an existing company abroad. If you plan on expanding your existing business, you can also register a branch office or a subsidiary.

Estimate of timelines for establishing an LTD company as a natural person

The company type you can establish the fastest is LTD company, if natural persons are shareholders. Additionally, it also requires obtaining the least number of documents from your homeland. You would just need to present your Slovenian tax number, 7.500€ share capital, a valid passport and a business address in Slovenia. Obtaining the Slovenian tax numbers takes 8 days, then you can proceed to company registration which takes between 2 to 3 weeks to complete. All in all, your company would be registered within 1 month.

What about the estimates for establishing a subsidiary or a branch office?

If you have an existing company abroad, you have two possibilities when it comes to company registration – subsidiary or a branch office.

A subsidiary is also an LTD company but there the shareholder is a legal entity. This foreign legal entity also has to obtain the Slovenian tax number. For that, you need to obtain an extract from the business registry of the parent company and appropriately attest it and translate it to Slovene language. The estimate, how long this part of the procedure takes, depends on each individual country and their attestation policy. Usually, it takes around at least 2 weeks. Then the procedure is the same as registering an LTD company as a natural person. The estimate, how fast you can have the subsidiary registered is between 1,5 to 2 months.

You also have the possibility of registering a branch office in Slovenia. A branch office is not a separate legal entity, but a part of your parent company. This is also the reason the branch does not require share capital at registration. But you would have to present a larger number of documents from the parent company. Those include: extract from the business registry, financial report for the past business year and act of establishment of the parent company. All those documents need to be appropriately attested and translated to Slovene language.

The estimate, how long this part of the procedure takes, depends on each individual country and their attestation policy. Roughly, we can estimate that it would take at least 1 month to acquire all those documents. Then you can proceed to register the branch office at the notary. You can also register it through authorization without visiting Slovenia. Our estimate is that you can register a branch office in around 2 months.
