Who can register a branch office in Slovenia?
A branch office is not a separate legal entity but a part of your existing foreign company. Hence, you can register a branch office in Slovenia if you have an existing LTD company abroad.
Why is it possible to register a branch office without your presence in Slovenia?
As the branch office is not a separate legal entity, it does not require depositing share capital for the registration. Because of this reason, you would not need to open a bank account in the process of company registration. Opening a bank account is one of the main steps that would require your personal presence in Slovenia, but as a branch office does not require this step, you do not need to travel to Slovenia for the registration.
How does the registration look like?
The branch office registration is done by the notary. But the notary also accepts verified documents that an authorized person submits to their office. After submitting the full application at the notary, the court usually registers the branch office within 15 days. You can use the parent company’s bank account for business transactions of the branch office.
What documentation do you need to register the branch office?
To register the branch office, you would need to present the following documents from the parent company:
- act of establishment of the parent company,
- extract from the business registry that is not older than 3 months,
- financial statement for the previous business year
- verified statement for the business address in Slovenia.
