Act of establishment of the company – what does it consist of?
In the previous article, we have explained what documents the foreigner has to bring with him when establishing a company in Slovenia. When already in Slovenia and doing company registration at a One-Stop Shop, the consultant will help him to prepare the act of establishment.
The act of establishment is the core document for LTD company registration. It contains all the important information about your company.
Firstly, it contains the information about who the shareholders are. It also includes the information what type of company is being established (LTD company – d.o.o. in Slovenian).
Secondly, it includes the company name in both short and long form. It also states in which city in Slovenia the company has its business seat.
The document also includes the company’s registered business activities. A company can register several business activities because a company can only issue invoices for the business activities that it registered.
The act of establishment also has to include information about the height of the founding capital. The minimal amount of founding capital in Slovenia is 7.500€. In the act, you would also have to decide what percentage of the shareholding structure for each shareholder.
Additional documents for company registration in Slovenia

One of the documents is the statement for the representative of the company, where the person agrees to be the representative of the company. An additional document is also the decree of the shareholders of naming the representative.
