Founding capital of a company in Slovenia, EU – which company types require depositing founding capital?

Not all company types require that you have to deposit founding capital in order to establish the company. For example, opening a branch office does not require depositing any founding capital. This is because the branch office is only a part of the existing parent company and not a separate legal entity. Because of this, the parent company is liable for business conduct and financing of the branch office.

Another company type, which does not require depositing founding capital is sole proprietorship. This is because a sole proprietorship is also not a legal entity, but is connected to a natural person. It means that the person, who opened the sole proprietorship, is liable for business conduct with all his personal assets. But you can only open a sole proprietorship if you are an EU citizen or have been living in Slovenia at least 1 year prior to opening it.

Opening an LTD company requires depositing founding capital. The minimal amount you have to deposit is 7.500€. This is true for both opening the LTD company as natural persons or opening a subsidiary. The only difference between these two is that with a subsidiary, the shareholder of the new company is another legal entity.

Founding capital of a company in Slovenia, EU – when do you have to deposit the founding capital?

When establishing an LTD company, you would also have to make the deposit of the founding capital. If you do not do so, the court would not issue a decree about company establishment and your company would not be opened.

You have to make the deposit as soon as you make the act of establishment of the company. You have to make the act of establishment of the company in person in Slovenia. Once you have it, you can go to a bank in Slovenia and open a temporary bank account. You deposit the founding capital to the temporary bank account and the bank issues a certificate of deposit. With that certificate, you can submit the company registration documents to court. In 3-5 business days the company is established and you can open a permanent bank account for your company.

Founding capital of a company in Slovenia, EU – in what manner do you have to make the deposit?

If you are opening a new LTD as a natural person, you can make the deposit of the founding capital either in cash or through bank transfer from a personal bank account. As soon as the money is visible on the temporary bank account, the bank would issue a certificate of deposit.

If you are opening a subsidiary, where the shareholder will be a foreign legal entity, you can only make the deposit through bank transfer. You have to deposit the founding capital from the parent company’s bank account. As soon as the money is visible on the temporary bank account, the bank will issue a certificate of deposit.

Once the company is officially established, your company can use this money for business expenses.
