When establishing a new company abroad it is always good to know in advance what you need to prepare so that there are no unpleasant surprises. Below Data has prepared a small checklist of things to consider when establishing your company in Slovenia.

Your company in Slovenia – tax number for all shareholders and directors

The most important document to consider when establishing a LTD company in Slovenia is obtaining the Slovenian tax number. All shareholders and directors need to obtain it in order to do the company registration.

You can obtain it yourself by going to the tax office of Slovenia and filling out the appropriate form (DR-02). You can also authorize someone else via power-of-attorney to obtain it for you.

Also, if you are establishing a subsidiary, the parent company needs to obtain a tax number in Slovenia. The representative of the parent company can obtain it at the tax office by filling out the form DR-04. The representative can also authorize someone else to obtain the tax number for him based on power of attorney.

Your company in Slovenia – business address

When registering your company in Slovenia, it will also need a business address in Slovenia. It means that already at company registration, you would need an address in Slovenia, where the company’s official business address will be. In addition, you need a statement from the owner of the business address that he allows you to register your company at that address. The owner needs to notarize the statment at the notary or administrative unit.

Your company in Slovenia – company registration

When you have all of the above sorted out, you would have to come to Slovenia for company registration. All shareholders and directors have to be present in Slovenia for company registration. You can schedule your trip to Slovenia for about 7-10 days, which is the time you need to register your company.

With all the mentioned documents and your valid passports, you can come to Slovenia and make the act of establishment. In the temporary bank account, you deposit the founding capital. For LTD company, the minimum is 7500€. You can later spend this money for business purposes.

Once the company is officially established, you can go back to the bank to change the temporary bank account to permanent. This concludes the company registration process.
