Starting a new business in Slovenia, Europe – what company type can you register?

When starting a new business in Slovenia, you have to open a company first. Non-EU citizens can open an LTD (private company limited by shares). Once opened you can proceed to doing business in Europe as well.

In order to open it you will need:

• 7.500€ founding capital,
• Slovenian tax number for all shareholders and representatives,
• a business address in Slovenia,
• valid passports of all shareholders and representatives.

You can obtain the Slovenian tax number at the tax office in Slovenia. You can submit an application along with a scan of your passport. The tax office issues the tax number within 8 days. You can also authorize someone to submit the application on your behalf.

When starting a business in Slovenia, your company also needs a business address in Slovenia. It can be a residential building or a commercial building. In order to register your company’s business address there, you would have to obtain consent from the owner of the business address.

The owner has to sign a special statement, consenting that your company has its business address there. He has to notarize this statement at the notary or at an administrative unit in Slovenia. The owner can also come with you when you make company registration and notarize the statement at our office, which is a licensed VEM point for company registrations.

When you have gathered all your documents, you can proceed to company registration. For that all shareholders and representatives have to come to Slovenia for company registration. You will have to remain in Slovenia around 2 weeks to finalize all processes connected to opening a company.

The first step would be to make the act of establishment of the company. You can do it at any VEM point in Slovenia free of charge. Afterwards you proceed to going to a bank in Slovenia in order to gain their consent for opening a temporary bank account of your company. When you receive it, you will have to deposit the founding capital 7.500€. Then it takes 3-5 business days for the court to officially register the company. When you receive the court’s decree, you have to activate the permanent bank account. This is the final step and once completed, you can proceed to your business conduct in Slovenia.
