Selection of company type: branch office
Mostly entrepreneurs with an existing business abroad make the selection of opening a branch office in Slovenia. Why? Because it is just an extension of their previous business to a new territory. The brand-awareness is already high, the company’s name is known and it is easier to market the products or services in that manner. And if you plan to provide the same services in Slovenia as you to abroad, then selection of the branch office is the perfect choice for you.
Opening a branch office requires no share capital. The branch is completely dependent on the parent company. Also, it cannot exist without the parent company. For the registration of the branch office you need: Slovenian tax numbers for representatives and the parent company, a business address in Slovenia, financial report for the previous business year, act of establishment of the parent company and extract from the court registry. Here, you cannot make a selection of business activities as the branch is allowed to conduct only those activities that the parent company has registered. The branch registration is carried out with the notary and can be done based on authorization. Business conduct of the branch office also has to be included in the parent company’s financial report.

Selection of company type: subsidiary or daughter company
Another possibility of expanding your business is opening a subsidiary, sometimes also called daughter company. The main difference from the branch office is that it is a separate legal entity. It means that the selection of this company type is suitable for those entrepreneurs, who still want to expand their business to a new market, but perhaps do not want to be completely dependent on the parent company.
A subsidiary is a limited liability company. It means that for the registration, you require to deposit 7500€ share capital. Also for the registration the subsidiary needs a business address and the representative and parent company need to obtain a Slovenian tax number. The subsidiary also has to present an extract from the court registry of the parent company.
Within the subsidiary you have a free selection of the business activities. You can choose completely different business activities than the parent company has. Here, only the owner of the company is your parent company, but the choice of business conduct is completely free. Having a subsidiary increases your company’s trustworthiness, as it shows the clients that there is a successful business behind the new business in Slovenia.

You can always just start a new limited liability company
Even if you have an existing business abroad, you can make the selection of starting a completely new company as a natural person. This would be a limited liability company where you as a natural person are the owner. It is the easiest type of company to register as you need only 7500€ share capital, a Slovenian tax number and a business address in Slovenia.
