Founders of the private limited company (LTD company) must first come to the »One Stop Shop« in order to register the company and after obtaining the documents for company registration, which the consultant has prepared, the founders must go to a bank of their choice to open a temporary bank account and deposit the founding capital of the company.
Founding capital of the company – documents
The consultant at the »One Stop Shop« prepares the documents you need quickly and free of charge. The company’s shareholders must take these documents to the bank where they open a temporary bank account and deposit the founding capital.
The documents, which the consultant prepares, are:
- A copy of the act of establishment of the company
- Resolution to appoint representatives
- A resolution about the legal address of the company
If the company has more shareholders, each of them is obliged to deposit their share of the founding capital of the company to the bank account and the amount of all the shareholders together must not be less than 7.500 €. When deposited, the founders receive a certificate from the bank that they deposited that amount. This certificate also shows, what percentage of the founding capital was submitted by each shareholder.
The shareholders need to bring this certificate from the bank back to the »One Stop Shop«. When the consultant receives this certificate that the founding capital of the company has been deposited to the bank account, he/she can submit the documents of the registration of the company to the court register. If the entrepreneur does not bring this proof of deposited capital back to the »One Stop Shop« within 14 days, the documents for the registration of the company in the electronic system get deleted.
When the court receives the application, they need up to a week to review the documents and check if the application is correct. If everything is in order, the court will then decide to register the business entity in the court registry of companies. The decision on the registration of a company is sent to the business address specified at the registration procedure at the »One Stop Shop«.
When the decision was sent, the founder takes this decree to the bank and changes the temporary account into a permanent business account. After this, the company can start their business activity.
