Register a branch office in Slovenia
Registration of the branch office does not require your arrival to Slovenia. DATA experts register the branch with a notary public based on your authorization. You must already have an existing LTD company abroad to register the branch. A branch will not be independent legal entity and is entirely dependent on the parent company. For this reason, the registration of a branch does not require share capital. You can only register a branch office for the same activities as the parent company. In this way, you will be engaging in the expansion of your existing services or products to a new market.
Business expansion to EU – procedure of branch regsitration
Before opening a branch of your company in Slovenia, a foreign company as well as a future representative of the branch must receive a Slovenian tax number. This is also a document which DATA d.o.o. can obtain on your behalf based on authorization. The next step in your business expansion is preparing the parent company’s documents.
For registration of the branch office you have to prepare the following documents:
- an excerpt from the business registry of the parent company, not older than 90 days, certified according to the provisions of the Law on Document Verification and with an official translation into Slovenian language;
- financial statement for the last financial year with the signature of the representative of the parent company, dully attested and with an official translation into Slovenian;
- parent bank account information;
- a copy of the personal ID documents of the future representative of the branch office;
- act of establishment of the parent company, certified according to the regulations and with a court translation into Slovenian langauge.
The registration takes place at the notary and takes around 2 weeks to complete from submitting the application. This will enable your business expansion to Europe.
