If you have not been an entrepreneur in your homeland, you still have the possibility to enter the European market. You can establish an LTD company as a natural person.

If you have previous experience of doing business and have existing companies abroad, you have the possibility to open a subsidiary or a branch office in Slovenia. Establishing any of the company types in Slovenia gives you the opportunity to do business in Europe.

Types of companies you can establish in Slovenia, EU – LTD company

The most common of the types of companies you can establish in Slovenia is establishing an LTD company as a natural person. For this, you do not need to have an existing business abroad.

Establishing an LTD company means that the company’s business conduct is liable with the amount of founding capital. Minimal founding capital for establishing an LTD company is 7.500€.

To establish an LTD company, you need the founding capital (at least 7.500€), a Slovenian tax number, a valid passport and a business address in Slovenia.

All shareholders and representatives would have to come to Slovenia in order to establish the company. It takes about 2 weeks to finalize the procedures and then you can proceed to doing your business in Slovenia.

Types of companies you can establish in Slovenia, EU – subsidiary

The second of the company’s types you can establish in Slovenia is a subsidiary. This requires that you already have an existing LTD company abroad. A subsidiary is also an LTD company but the shareholder in this case is a legal entity. This company type also requires at least 7.500€ founding capital.

The process of establishing a subsidiary is similar to establishing an LTD as natural person. The only difference is that in this case, the foreign company also has to obtain a Slovenian tax number.

To establish a subsidiary, you would need 7.500€ founding capital which your foreign company provides. In addition, you need to present Slovenian tax numbers for all representatives and for the parent company. A subsidiary also requires a business address in Slovenia and also to present the extract from the business registry from the parent company.

The representatives of the parent company and from the subsidiary have to come to Slovenia for 2 weeks to finalize company registration and open a bank account for the subsidiary.

If you have an existing company abroad, the last of the company types you can establish is a branch office. It is not a separate legal entity and is only a part of the parent company. The main company has to include the branches business conduct in its own financial report.

As it is not a separate legal entity, it does not require founding capital to be established. It can only be established at the notary but it can be registered based on power of attorney. This means that the company representatives do not have to come to Slovenia to register the branch office.

To register the branch office, you would require to obtain the Slovenian tax number for the parent company as well as for all representatives. Additionally, you have to present the parent company’s financial report, act of establishment and extract from the business registry. Based on those documents you would prepare a decree of branch establishment and a statement for the representative. You have to submit all those documents to the notary and then the branch is registered within 14 days after the notary receives the complete documentation.
