Business expansion to Slovenia, Europe – opening a subsidiary
One of the ways to do business in Slovenia by expanding an existing company is to open a subsidiary in Slovenia.
A subsidiary is an independent legal entity. It is an LTD company where the founding capital is still 7500 EUR. The shareholder is the foreign company, called the parent company. The transaction of the founding capital has to come from the parent company’s corporate bank account.
In the process of business expansion with subsidiary registration, you will have to show:
- extract from the business registry of the parent company which cannot be older than 3 months,
- Slovenian tax numbers for representatives and the parent company as well,
- a business address for your company in Slovenia.
After obtaining all documents, the company representatives would need to come to Slovenia. Here, they would sign the act of establishment and also open the bank account for the subsidiary.
Also, the subsidiary is not limited to registering only the same business activity as the parent company. It is capitally linked to the parent company (the foreign company is the owner) but is still an independent legal entity.
Business expansion to Slovenia, Europe by opening a branch office
If you have a developed business abroad and want to market those products or services, you can open a branch office in Slovenia. This will enable you to do your existing business in Europe.
In comparison to the subsidiary, a branch office is not a separate legal entity. Therefore, the main purpose of the branch is to market the parent company’s services abroad. There is no founding capital needed to establish a branch office. But as the branch is not independent, its business conduct has to be included in the parent company’s yearly financial report.
The branch office has to register the same business activities as the parent company when doing business expansion. In the process of registration, you will have to provide:
- financial report for the previous business year for the parent company,
- act of establishment of the parent company,
- extract from the business registry from the parent company that cannot be older than 3 months,
- Slovenian tax numbers for representatives and the foreign company,
- decree of branch establishment,
- statement of the representative of the branch agreeing to being the representative
- a business address for the branch in Slovenia.
You will have to register the branch at the notary’s office. After submitting the applications, the branch is registered within 2 weeks. The branch is not required to have a bank account in Slovenia.
