Starting Ltd – Our neighbors pay and wait longer for Ltd registration!

Slovenia has favorable conditions for Ltd registration. However, it is different in our neighboring countries. For instance, in Italy it is the notary who prepares the articles of incorporation of the Ltd. Although the judicial part can be quick, the notarial part can consume a lot of time! Moreover, Ltd registration in Hungary requires lawyers or a notary. In certain cases, you would need apostilles and authentications for signatures. As a result, the registration process takes between six and eight weeks, which is much longer than for a Ltd registration in Slovenia.

What is more, in Croatia both notaries and lawyers are necessary for the incorporation. Normally, these services are chargeable. So are the court costs and translations. In terms of time, the process takes between three and seven weeks. Meanwhile, in Germany you need a notary to authenticate the signatures of the founders. In fact, the same applies to the whole registration process, which is managed by lawyers. Registration typically takes between 6-8 weeks. Given this, notary fees are variable in Germany, while the cost of registration alone is around €100.

Ltd in Slovenia and founding capital

What about Slovenia? Initially, the Ltd registration requires a minimum of 7,500€. That is the founding capital. If you do it in cash, you will deposit it with the bank in a temporary business account. Then, you will need to take the certificate of the deposited capital back to our DATA point. In comparison, you will need a much higher founding capital in Austria. The minimum amount there is 35,000€. While Italy requires little less, it is still higher than Slovenia. The amount there stretches between 10,000€ and 50,000€. Moreover, Hungary requires a minimum of 7,200€, which is similar to that of Slovenia. However, in Hungary the company’s bank account must be with a Hungarian bank. Furthermore, in Croatia the minimum is 2,600€, which is a third of the amount you need for Ltd registration in Slovenia. The highest is in Germany – 25,000€.
