Opening a company in Slovenia, EU – what kind of company can you open?

If you are a non-EU citizen, you can open an LTD company. It is a private company limited by shares. An LTD requires founding capital in the minimal amount of at least 7.500€. It can have up to 50 shareholders.

The company is liable for business conduct only with the amount of founding capital.

Opening a company in Slovenia, EU – what documents do you need?

To establish an LTD company, you would require:

  • Valid passports for all shareholders and representatives
  • 7.500€ founding capital
  • Business address in Slovenia
  • Slovenian tax numbers for all representatives and shareholders.

You can obtain the Slovenian tax number yourself or authorize someone of obtain it on your behalf. It takes about 8 days from submitting the application to the tax office to obtain the tax number.

When you have chosen a business address, the owner of the business address has to notarize the statement that he allows you opening a company at his address. The other possibility is that he comes with you at the VEM/SPOT point when you are doing company registration.

When you have all of the abovementioned documents, you have to come to Slovenia for company registration. All shareholders and representatives need to be present for company registration in Slovenia.

With all those documents the consultant at the VEM/SPOT point prepares the act of establishment. After that you go to the bank in Slovenia to open a temporary bank account. To that account you then deposit the founding capital 7.500€. After the deposit, the court registers the company in 3-5 business days.

After receiving the decree from court, then you have to go back to the bank to activate a permanent bank account. With that opening a company is finished and you can proceed to doing business in Slovenia.
