Company formations – branch office

Branch office can be established by foreign legal entity in Slovenia. By Slovenian legislation, branch company is not a legal entity. It also does not require a founding capital. Meaning that it is not sovereign legal entity. Branch office can carry out only the business that is performed by the parent company.

If you already have a company and want to expand your business to Slovenia and the EU, you can decide on opening a subsidiary in Slovenia. Subsidiary company is LTD company, established by foreign legal entity.

To register it you will need a starting capital in the amount of min. 7.500 eur.

To become a sole propriate in Slovenia you have to already have one year of legal residency in Slovenia, if you are not an EU citizen. If you are an EU citizen, you can open it right away,

You do not have to have a strating capital.

Before the registration you will have to obtain slovenian tax number for all the directors of a new company. Also you will need a certificate of non-criminal record from Slovenia.
