Types of companies you can open in Slovenia, EU

If you have made the decision to start your business in Slovenia, you still have to make the decision what types of companies you can open. Each one has its specifics, so in this article we will be explaining how you can open different types of companies in Slovenia, EU.

Types of companies you can open in Slovenia, EU – LTD company

LTD company is the most common of types of companies in Slovenia. It is a private limited company, where the company is liable for business conducts in the amount of the deposited founding capital. The owners and representatives of an LTD company can be of any nationality. To establish it, you would need:

  • A Slovenian tax number for all shareholders and representatives
  • 7.500€ founding capital
  • A business address in Slovenia
  • Valid passports from all shareholders and representatives

All shareholders and representatives would have to come to Slovenia for about 10 days to finalize the process of company registration. In this time, you would prepare an act of establishment of the company and open a temporary bank account at a bank in Slovenia to deposit the founding capital. Once the company is officially registered, the company can spend the founding capital for business expenses.

Types of companies you can open in Slovenia, EU – subsidiary

A subsidiary is also one of the types of companies you can establish to do business in Europe. It is also a LTD company. The difference is that with a subsidiary, the shareholder of the Slovenian company is another legal entity. This means, that in this case you would have to already have an existing LTD company abroad, which would then open the subsidiary. This would be a capitally-linked company with your parent company but it would still be a separate legal entity in Slovenia, which can register any business activity you want in Slovenia.

To register a subsidiary, you would need:

  • A Slovenian tax number for all representatives and the parent company in Slovenia
  • Extract from the business registry of your parent company, which is not older than 3 months, dully translated to Slovene language and translated to Slovene language by court translator
  • 7.500€ founding capital which you have to transfer from the parent company’s bank account
  • A business address in Slovenia
  • Valid passport from all representatives of both the parent company and the company in establishing

Also, with this company type, all representatives of the parent company and the company in establishing have to come to Slovenia for company registration. You would need to stay in Slovenia for 10 days to finalize the process of company registration. When you would draft the act of establishment, you would open the temporary bank account at a bank in Slovenia and deposit the founding capital. Keep in mind that you would have to make the transfer from the parent company’s bank account. Once the company is established, you can use the founding capital for business expenses.

Types of companies you can open in Slovenia, EU – branch office

If you have an existing company abroad, you can also establish a branch office for business in Slovenia. A branch office is not a separate legal entity but is a part of the parent company. The parent company is responsible for the branches business conduct. This is why the branch office does not require founding capital for company registration. But it also means that it has to register the same business activity as the parent company.

To register a branch office, you would need:

  • A Slovenian tax number for all representatives and the parent company in Slovenia
  • Extract from the business registry of your parent company, which is not older than 3 months, dully translated to Slovene language and translated to Slovene language by court translator
  • A business address in Slovenia
  • Valid passport from all representatives of both the parent company and the company in establishing
  • Financial report of the parent company for the previous business year, dully attested and translated to Slovene language by a court translator
  • Act of establishment of the parent company, dully attested and translated to Slovene language by a court translator
  • Decree to establish a branch office and name the representative of the branch office

Establishing a branch office has to be done at a notary’s office. It is the only of the types of companies where the registration cannot be done at our VEM/SPOT point. It does not require your presence in Slovenia in the process of establishment. We can assist you to establish it based on power-of-attorney. Once the documents would be submitted at the notary, it takes around 14 days for the branch office appear in the business registry. Then, the representative of the parent company has to come to Slovenia to open a bank account of the company, if needed.

Types of companies you can open in Slovenia, EU – sole proprietorship

You can only open a sole proprietorship if you are an EU citizen. A non-EU citizen can only open this company type if he has been living in Slovenia for at least 1 year. Otherwise, you do not meet the conditions to open a sole proprietorship. This is the only of the types of companies, which you can open that does not require founding capital. You as a natural person are liable for business conduct will all your assets. This company type cannot have more shareholder as it is linked to you directly as a natural person.

To establish it you would need:

  • Slovenian tax number
  • Slovenian EMŠO (registration) number
  • A business address in Slovenia
  • Valid passport

As most of the types of companies, sole proprietorship requires your physical presence to Slovenia for company registration. Once you prepare the act of establishment, the company appears in the business registry in 2-3 business days. Then you have to open a bank account at a Slovenian bank. After receiving this decree, you would also have to enroll in Slovenian social security and start paying for the compulsory social insurance each month.
