If you have chosen Slovenia as your business destination, the first step would be to open a company. There are several possibilities when opening a company in Slovenia, depending on your level of previous entrepreneurship experience.
If you are a new entrepreneur and do not have an already operating company abroad, you can open an LTD company. It is a private company limited by shares, where the founding capital is 7500€. The company is liable for business conduct in that amount. To establish it, you need Slovenian tax number, business address for the company in Slovenia and the founding capital. Then you have to come to Slovenia for about 2 weeks to finalize company registration processes.
Transfer your business to EU – open a subsidiary in Slovenia
But if you have already experience in doing business and have an existing company abroad, you have two additional possibilities if you transfer your business to Slovenia.
You can establish a subsidiary. This is also an LTD company, which requires 7.500€ founding capital. But in this case the shareholder of the company if your foreign company. In addition to the capital, business address in Slovenia and Slovenian tax number for the representative, you also have to obtain the Slovenian tax number for the parent company. You can obtain it based on an extract from the business registry of the parent company. This document has to be appropriately attested and translated to Slovene language. There is also the possibility to transfer your business by opening a branch office. This is not a separate legal entity but a part of your parent company. You have to include the business conduct of the branch in the parent company’s financial report. It can also only register the same business activities that the parent company is allowed to conduct.
The branch office does not require founding capital and you have to register it at the notary. You can also authorize someone else to register it on your behalf so you do not need to come to Slovenia for company registration.
From the parent company you have to submit the financial report for the previous year, act of establishment and extract from the business registry. You have to attest all documents appropriately and obtain a translation to Slovene language. Once you have submitted the documents to the notary, the company is registered within 14 days. A branch office is not required to have a bank account in Slovenia, it can use the parent company’s bank account.
As soon as you have registered one of the companies, you can proceed to do business in Slovenia.
