LTD company in Slovenia – characteristics
An LTD company means a limited liability company. At registration, the shareholders have to present a certain amount of share capital. The amount of share capital shows the amount to which the company is liable for business conduct towards creditors. This also means that the shareholders are not liable for business conduct with their personal assets, but only with the amount of share capital.

Minimal amount of share capital for LTD registration
The minimal amount for share capital that you have to deposit to register an LTD company in Slovenia is 7500€. If there is more than one shareholder, you can divide the amount between the shareholders. When registering the company, you can deposit this amount in cash or through a transfer from your personal bank account. There is also the possibility to deposit the share capital as material funds, but in this case the registration has to happen at the notary’s office. These funds are later available for you to spend on business purposes.

In which cases do you need a higher amount of share capital?
For most business activities, the minimal amount of share capital is sufficient. But there are certain business activities, that sometimes require a higher amount of share capital. For example, international transport of goods and transport of passengers. For those business activities, you require to obtain a license. That license requires proof of good financial standing – 9000€ for the first vehicle and 5000€ for every subsequent vehicle. You can either prove it with investment to fixed assets or with depositing a higher amount of share capital.

Can you change the amount of share capital for LTD company later?
If you later decide to increase the amount of share capital, you can also do it after company registration. It would require a visit to the notary in Slovenia but if you decide to increase the amount of share capital. If your share capital is at the minimal amount, you cannot decrease it further. The percentage of the share capital that each shareholder contributes also entitles them to the same percentage in case of payment of dividends.
