If you are a non-EU citizen and fairly new to entrepreneurship, you can open a brand-new LTD company as a natural person.
But if you already have experience in doing business abroad and would now only like to expand your existing business to Slovenia, then you can open a subsidiary or a branch office in Slovenia.
Expand your business to EU – establish a new LTD company in Slovenia
If you want to establish a new company in Slovenia, you can open a LTD company. You can be a shareholder as a natural person and provide the founding capital. The minimal amount of founding capital is 7.500 € and the company is liable for business conduct in that amount.
In order to register an LTD company all shareholders also need a Slovenian tax number. The company also has to have a business address in Slovenia. Once you have all those documents, you have to travel to Slovenia to make company registration and open the bank account where you would submit the founding capital. The whole process takes about 2 weeks to complete.
Expand your business to EU – establish a subsidiary of your company in Slovenia
If you already have an existing company, you can expand your business by establishing a subsidiary in Slovenia. It is also an independent LTD company, where the shareholder is a legal entity. This way your foreign company can be the owner of the Slovenian company but you would still have the independence to also register different business activities and offer additional services in Europe.
The minimal founding capital is 7.500 € and in case of the subsidiary, the parent company has to deposit it from the main bank account. The parent company would also have to obtain the Slovenian tax number and so will the representatives. When registering a subsidiary, you would have to provide an extract from the business registry of the parent company. It has to be properly attested and translated to Slovene language.
The parent company representatives and subsidiary representatives have to come to Slovenia for company registration. In addition to the tax numbers, the company would also need a business address in Slovenia. The process of subsidiary registration also takes about 2 weeks to complete. In that time, you make the act of establishment and open the bank account where the parent company deposits the founding capital. Opening a subsidiary would enable you to expand your existing business to a new market but develop new services or products.
Expand your business to EU – open a branch office in Slovenia
If you have a functioning company abroad, you can also expand your business to Slovenia by establishing a branch office. Branch offices usually serve as more of a marketing unit in another country, promoting the services of the parent company.
It is not a separate legal entity and actually a part of the parent company. The branches business conduct has to be included in the parent company’s yearly financial report. It cannot register other business activities than the ones that the parent company has registered as well. Because it is not an independent legal entity, it does not require founding capital.
A branch has to be established at the notary and it can be done based on authorization, so you do not need to travel to Slovenia for company registration.
When registering a branch, you need to submit to the notary:
- Act of establishment of the parent company
- Financial report for the previous business year from the parent company
- Extract from the business registry for the parent company, which is not older than 3 months.
You have to make sure that the documents have appropriate certification and a translation to Slovene language. Additionally, you also have to obtain Slovenian tax numbers for the parent company, as well as for the representatives. A branch also requires a business address in Slovenia.
- In addition to the parent company’s documents, you also have to submit:
- A decree of branch establishment
- A statement from the director that he agrees to assume that position.
Once you have submitted all those documents to the notary, the branch is established in about 15 days. Then you can also open the bank account for the branch and proceed to expand your business activity to the European market.
