Company establishment in Slovenia, EU – what kind of company can you establish?

If you are a non-EU citizen you can establish an LTD company in Slovenia. It is a private company limited by shares. The company is liable for business conduct of the company with the amount of founding capital. The minimal amount of founding capital is 7.500 €. There can be up to 50 shareholders in one LTD company and it has to have at least one representative.

You can register several business activities within one LTD but you have to choose your main business activity when proceeding to company establishment.

What kind of documents for company establishment in Slovenia, EU?

In order to open an LTD company, you would need to present Slovenian tax numbers for all representatives and shareholders. You can obtain it at the Slovenian tax office either in person or through authorization. It takes 8 days to obtain.

Additionally, you need to have a business address for the company. It can be a commercial or residential building. The owner of the business address has to consent that you register your company’s address there. He has to sign a statement allowing you to have the business address there and he has to notarize the statement at the notary or at the Slovenian administrative unit.

Also, all shareholders need to present valid passport in the process of company establishment. They also have to deposit the 7.500 € founding capital either in cash or through bank transfer from their personal bank account.

The process of company establishment in Slovenia, EU

Once you have gathered all relevant documents, all shareholders and representatives have to travel to Slovenia to finalize company registration process. It takes about 14 days to complete. In that time, you would have to sign the company establishment act. You would take those documents to a bank in Slovenia, where you open a temporary bank account. In that bank account, you deposit the founding capital.

Once you do the deposit, the bank issues a confirmation about the deposit. You bring the confirmation back to the office where you signed the company establishment act and they submit the documents to court. Afterwards it takes 3-5 business days for the company to be officially registered. Once you receive the court’s decree, you have to go back to the bank to activate the permanent bank account. This concludes the company establishment process and you can proceed with doing business in Europe.
