Director of a company in Slovenia
A limited liability company in Slovenia has to have at least one legal representative. That person is director of the company and holds the liability towards clients. In addition, you can also name a procurator in the company.
The limited liability company (d.o.o.) may have one or more managing directors. The partners may assign to the representatives with independent representation or joint representation in the management of the company’s business. In the case of joint representation, it means that each decision in the company is made jointly by the representatives, they decide together and sign the documents together. Independent representation means that they can sign the documents and represent the company individually.

Procurator of a company in Slovenia
In addition to the director, the shareholders in a limited liability company can also appoint a procurator. There can also be more than one procurator in the company. The procurator also has authorization to represent the company. This enables the procurator to sign documents, agreements and legally represents the company towards third parties. However, in comparison to the director, the procurator does not have the authorities to sell or mortgage real estate of the company.
Procurators are most often appointed in cases where the director is not present in the country too often so that they can manage the daily business of the company. You can also appoint the procurator later on, once the company is established, if you see that you would require such services.
