If you have already been conducting your own business abroad, you have the possibility to expand this business to Slovenia.
If you have an existing LTD abroad, one possibility is to establish a subsidiary in Slovenia. It would also be an independent LTD company, where your parent company would be the shareholder. You still have the possibility to register different business activities in the Slovenian company in addition to the ones that you are conducting abroad. To register a subsidiary, you would also need to come to Slovenia and deposit 7.500€ founding capital from the parent company’s bank account. Additionally, you would need to provide an extract from the business registry of the parent company, business address in Slovenia and Slovenian tax numbers for representatives as well as the parent company. This company type also takes about 10 days to register. In that time, you also need to open a corporate bank account.
When you have an existing company, you also have the possibility to register a branch office in Slovenia. It would not be an independent business entity in Slovenia but a part of your existing company. This company type would have to be registered at the notary’s office and your presence in Slovenia for company registration is not required. You can authorize someone to register it on your behalf. You would need to provide documents from the parent company such as financial report for the previous business year, extract from the business registry and act of establishment from the parent company. Branch offices does not foresee founding capital, also you would not need to open a bank account in Slovenia.
