One of the most frequently asked questions regarding company establishment in Slovenia is how much time it takes for a company to be established. The timeline depends on the chosen company type and we will present three of them in this article.
Timeline of company establishment in Slovenia, EU – new LTD company
Establishing a new LTD company as a natural person has the shortest timeline. This is because you would need to obtain the least documents in order to proceed with company establishment.
For establishing a new LTD, all shareholders need a Slovenian tax number, business address in Slovenia, valid passport and 7.500€ of founding capital. All shareholders and directors must also travel to Slovenia to make company registration.
You can obtain the tax number personally at the tax office. If you pick it up personally, they issue it immediately. If you authorize someone else to obtain it on your behalf it can take up to 8 days to obtain it, if it is submitted by post.
The timeline for making the act of establishment in a One-Stop Shop in Slovenia is about 1 hour. Then the next step is to open the temporary bank account. Some banks take up to 3 days to decide on opening a bank account for you, while some do it on the same day. Once you have opened the bank account, you have to deposit the 7.500€ of founding capital. Afterwards, it takes the court 3-5 business days to issue the decree that the company is registered. This would complete the process of company registration. To have an active company, the representative only has to activate a permanent bank account. This is done usually in one day.
Timeline of company establishment in Slovenia, EU – subsidiary
The timeline of establishing a subsidiary is quite similar to establishing a new LTD with one distinction. With the subsidiary, the owner of the new company is a legal entity, not a natural person. So, in case you have a company abroad, you can also establish a subsidiary.
With this company type, you also need to present Slovenian tax numbers for all representatives, 7.500€ founding capital, business address in Slovenia and valid passports from all representatives of the foreign and new company. The distinction is that the foreign legal entity also has to obtain a Slovenian tax number.
You would also need to obtain the tax number for the foreign legal entity. Based on the extract of the business registry, the timeline to obtain it on is the same day if you pick it up personally. But it depends on you, how fast you can obtain this extract from the country of origin and get it appropriately attested and translated to Slovene language.
From this point on the timeline does not differ from the timeline when establishing a new LTD company in Slovenia. All representatives of the parent company have to come to Slovenia and the representatives of the new company as well. We prepare the act of establishment in one hour at the One-Stop Shop. Then you have to open a temporary bank account to deposit the founding capital. You have to transfer the founding capital from the parent company’s bank account. Due to international transfers, it can take a couple of days for the capital to arrive at the bank account. Then the process is the same as with the new LTD – it takes 3-5 business days for the court to issue a decree and the representative has to come to Slovenia to activate the permanent bank account.
Timeline of company establishment in Slovenia, EU – branch office
If you have an existing company abroad, you can also open a branch office. Here, the timeline depends on how fast you can obtain the documents for the parent company. You would need to gather and appropriately attest the act of establishment, financial report for the previous year and the extract from the business registry. You also have to translate all documents to Slovene language.
Once you have all the documents, you also have to obtain the Slovenian tax numbers for the representatives and the parent company. As mentioned, you receive it immediately if you obtain it personally at the tax office, and the timeline is 8 days to receive if by post if you authorize someone to pick it up on your behalf.
Then you have to make branch registration at the notary. You can also authorize someone to register it at the notary for you, so you do not need to come to Slovenia for this part. Once you submit it at the notary, the timeline is up to 14 days for the branch to appear in the business registry.
