Shelf company in Slovenia – obtaining a work and residence permit before 2015

Up until 2015, there might have been a point to buying a shelf company in Slovenia. This is because then, a majority shareholder had the possibility to obtain a work and residence permit. But in September of 2015, the legislation in Slovenia has changed. Now, purchasing a shelf company in Slovenia does not give you the right to apply for a work and residence permit.

Shelf company in Slovenia – why it is more difficult to obtain a work and residence permit now?

The new legislation has changed the conditions which the company has to fulfill for obtaining work and residence permit. Now, the first possibility is that the company makes an investment to fixed assets in the amount of 50.000€. You have to invest within the first 6 months from company registration. The second possibility is to employ an EU citizen for a period of 6 months on a full workday. The third possibility is for the company to show turnover 10.000€ each month for 6 consecutive months.

Most shelf companies do not fulfill any of these conditions. As newly established companies are usually not sold, they already miss the deadline to fulfill the condition of investing 50.000€. If they are younger than 6 months, they are not sold with a fixed asset in such a high amount, which means that you would still have to invest your own money to fulfill the condition. Companies older than 6 months are usually not sold with employees or with a turnover of more than 10.000€ per month. So even if you purchase a shelf company in Slovenia, it will be on you to fulfill the conditions and obtain the right to apply for the permit.

Shelf company in Slovenia – why is it better to establish a new company rather than purchasing an existing one?

It would be difficult to fulfill any of the conditions to give you the right to apply for a work and residence permit through a shelf company in Slovenia. So, to avoid having additional troubles, such as the company being capitally inadequate or taking over the company’s existing debt, it is better to establish your own new company.
