If you are planning to start your business in Europe, consider opening a company in Slovenia. The processes are very straight-forward for foreigners as well. Below we are explaining the main aspects you have to consider when starting your new business in Slovenia.

Company registration in Slovenia – needed documents

A non-EU citizen can establish a LTD company (d.o.o. in Slovenian). It is a limited liability company where the minimal founding capital is 7.500€.

In addition to the founding capital, at business registration you would have to provide:

  • Slovenian tax number for all representatives and shareholders
  • Business address in Slovenia
  • Valid passports for all shareholders and representatives.

Company registration in Slovenia – where to start?

As mentioned above, the first step would be to obtain the Slovenian tax number. The shareholders and representatives can apply for it at the Slovenian tax office. You can also authorize someone else to apply for it on your behalf. The application is submitted at the tax office and it takes up to 8 days for the tax number to be issued.

You would also have to arrange for a business address in Slovenia. You would need to obtain a statement from the owner of the business address that he allows you to register your business there. Should you not have a rented office at that point, you can also use the services of virtual office which the company Data also provides.

Process of company registration in Slovenia

All shareholders and representatives need to come to Slovenia personally for LTD registration. The process of preparing the act of establishment at our office takes about 1 hour to complete. After having this document ready, you would have to open a temporary bank account at the bank in Slovenia.

All banks require personal presence of all shareholders and representatives in order to give consent to opening the temporary bank account. After filling out their application, the bank decides whether or not they accept your company as their client. Some banks do it in the same day, while with some banks it takes up to 3 or 4 days to issue such consent.

When you open the bank account, you have to deposit the founding capital 7.500€ in cash or through your personal bank account. After you have made the deposit, it takes the court 3-5 business days to issue a decree that the business is officially registered. At this point, the representative would have to go back to the bank to open a permanent bank account.

This completes the LTD registration and now you are ready to start your business in Slovenia. The whole process takes about 14 days to be completed.
